SK hynix said no decision has been made on a potential listing of its subsidiary Solidigm.
SK hynix stated on Oct. 1 that "nothing specific has been decided regarding Solidigm," adding that any decision on whether to use external or internal capital would be based not only on the form of financing but also on its overall economic impact on existing shareholders. The company emphasized that long-term corporate and shareholder value would be its most important criteria.
Market speculation has recently focused on Solidigm's business operations and funding plans. Some foreign media reported that Solidigm had held meetings with investment banks to select lead underwriters for a potential listing and that its valuation could reach as much as $150 billion. Reuters reported that the company was considering a US initial public offering (IPO) as early as 2027.
Analysts also raised concerns that a dual listing, in which a parent and subsidiary are both publicly traded, could undermine the value of existing SK hynix shareholders' holdings. Shares of SK hynix, its US American Depositary Receipts (ADRs) listed on Nasdaq, and other SK Group affiliates subsequently weakened together.
As a result, SK hynix disclosed to the Korea Exchange on Sept. 4 that "Solidigm is reviewing various options to strengthen its competitiveness, but nothing has been decided." With the controversy continuing, the company appears to have issued another statement on Oct. 1 to reiterate its position.
The speculation over a Solidigm listing stems from the need for investment to respond to the memory semiconductor supercycle. Solidigm is a US company established in 2021 after SK hynix acquired Intel's NAND and solid-state drive (SSD) business. The newly established company was branded Solidigm and became a standalone US subsidiary under SK hynix.
Solidigm previously struggled with earnings during the downturn in the memory semiconductor market, but has been growing amid demand for artificial intelligence (AI) data-center infrastructure. In particular, its enterprise SSD (eSSD) shipments have expanded significantly, creating a need to increase production capacity and technological capabilities.
According to industry sources, Solidigm is reviewing potential sites and detailed requirements for building a NAND mass-production line in the eastern United States. It would be the company's first NAND mass-production base in the US. It currently operates a plant in Dalian, China, while its US operations include its headquarters and research and development (R&D) center.
SK hynix said it continues to assess the need for investment to strengthen Solidigm's competitiveness, while noting that memory semiconductors are a capital-intensive industry in which cyclical market conditions and investment timing have a significant impact on competitiveness. It added that any capital-utilization plan must take into account SK hynix's overall investment plans, financial position, and capital allocation.
SK hynix currently has the financial capacity to invest directly in Solidigm. However, the company said using its own funds is not necessarily the best option. It needs to assess investment demand across several businesses, including high-bandwidth memory (HBM), server DRAM, and eSSD, and allocate resources accordingly. This leaves open the possibility of raising external capital through a listing.
SK hynix said that if it begins reviewing specific options, its board will closely examine the financial and business impact and fully comply with relevant regulations and procedures. It added that it would also review the impact on existing shareholders and necessary measures to protect their interests, and provide sufficient explanations.
